U.S. Partner Rebate Program: Microsoft FY12-H2 U.S. VAR Rebate Program

VAR Rebate FY12


Eligibility:

In order to receive U.S. Partner Rebate Program rebates from Microsoft, you must be a Value Added Reseller of Microsoft Corporation software ("Partner") in good standing with Microsoft and in strict compliance with these General Terms and Conditions, the terms and conditions of the applicable rebate program, the terms and conditions of any agreement between you and Microsoft and any Microsoft policy or procedure applicable to you.

Program Goal:

The goal of this rebate program is to help drive non-recurring Open Value revenue.

Eligible Participants:

U.S. Value Added Resellers ("VAR").


Program Period:

January 1, 2012 to June 30, 2012. This program may be modified or terminated by Microsoft at any time without prior notice.

Participation:

To participate in this Microsoft rebate program, VARs must register and acknowledge acceptance of the Microsoft FY12-H2 U.S. VAR Rebate Program General and Specific Terms and Conditions prior to June 15, 2012. Registration is located at [OneView.ms/VAR].

VARs must opt in only once during the program period. VARs will receive a confirmation e-mail with a confirmation ID, and a copy of the VAR Rebate Program Terms and Conditions, after their registration is received. VARs that are registered for other Microsoft rebate programs must still opt in to this program.

By accepting the Terms and Conditions, as outlined above, you understand and agree that you are formalizing your enrollment in the Microsoft FY12-H2 U.S. VAR Rebate Program and that you agree to abide by all the applicable rules, terms, and conditions of the program and the U.S. Partner Rebate Programs General Terms and Conditions found in this document. Microsoft will track VAR's sales and determine VAR's rebate status during the Program Period. In the event of conflict between these Specific Terms and Conditions and the General Terms and Conditions, the Specific Terms and Conditions shall control.

VARs may only participate in one U.S. Reseller rebate program.


Rebate Eligibility Period:

ARs are eligible to earn rebates beginning the start of the Microsoft fiscal month they sign up for the program, through the end of the program period. Table 1 below provides the start and end dates of Microsoft’s fiscal months during the rebate period. For example, a VAR that signs up for the program on March 15, 2012 would be eligible for rebates on eligible sales from March 1, 2012 through June 30, 2012.

Eligible Sales and Exclusions:

Rebate payout will be based on revenue of U.S. first year billings ("Non-recurring") sold through the following pricing levels and license types only:


1. Open Value:

Open Value new (L&SA) and renewal (SA Only) agreements purchased through Microsoft Authorized Distribution Partners.

Pricing Level: Open Value (including Open Value Subscription and Open Value level C)

License Type: L&SA and SA renew


Product Categories:

The payout for each product is determined by its classification into Green, Blue and Orange Product Payout Categories ("Product Category (ies)". These Product Categories are a classification of the eligible Microsoft products based on various Microsoft-defined factors. The table above provides a list of the eligible Microsoft products and payout rates for each of the three Product Categories.


Rebate Payout Amount(s):

The total rebate payout amount will be determined by categorizing all eligible Open Value and Open Value-C revenue into the Product Categories and then: Multiplying the Estimated Retail Price ("ERP") based revenue amount to the percentage available for the respective product payout categories:

1. 20% of ERP on products sold that are listed in the Green Category.

2. 7% of ERP on products sold that are listed in the Blue Category.

3. 3% of ERP on products sold that are listed in the Orange Category.

Cut-off Date(s): All eligible sales must be submitted to Microsoft by an authorized distribution partner and accepted by Microsoft by June 30, 2012 to be eligible for this rebate program. Microsoft reserves the right to alter or amend these dates at any time without prior notice.


Payment Timing:

There will be two payments during the rebate period:

1. The first payment will be issued on approximately May 23, 2012 for sales submitted to and accepted by Microsoft between January 1, 2012 and March 31, 2012.

2. The second payment will be issued on approximately August 20, 2012 for sales submitted to and accepted by Microsoft between April 1, 2012 and June 30, 2012.
